PROSPECTS AND CHALLENGES OF MERGER AND ACQUISITION IN THE RESTAURANT INDUSTRY

Mergers and acquisitions (M&A) have become a central strategic mechanism for growth and consolidation in the restaurant industry, particularly within emerging markets such as the Philippines. This study examined the prospects and challenges of M&A in the Philippine restaurant sector, focusing on financial stability, operational efficiency, employee morale and retention, customer satisfaction, and overall organizational performance. A quantitative descriptive design was employed, drawing on purposively sampled data from 50 management-level respondents from local and international restaurant chains headquartered in Metro Manila who had direct pre- and post-M&A operational experience. Data were gathered through structured surveys and analyzed using descriptive statistics and one-way analysis of variance (ANOVA). Results indicated strong agreement that M&A enhanced financial stability (overall weighted mean = 5.00), operational efficiency (M = 4.96), employee morale (M = 4.95), customer satisfaction (M = 4.86), and overall M&A success (M = 4.86). Perceived challenges — cultural integration, financial valuation, regulatory compliance, operational integration, and data security — were rated as minimal (M = 1.48–1.67), with employee retention emerging as the only dimension rated a slight concern (M = 1.80). No statistically significant differences in perceived financial prospects were found across ownership type, restaurant category, branch count, or workforce size (all p > .05). These findings suggest that M&A outcomes in the Philippine restaurant industry are broadly positive across organizational profiles, with human-capital and change-management factors representing the most sensitive area for post-merger integration. A six-month, human-centered intervention program is proposed to support workforce stability during integration. The study contributes empirical, practitioner-relevant evidence for restaurant operators, regulators, and future researchers examining M&A in emerging hospitality markets.
